Terms of Service

1. Acceptance of Terms

By accessing or using the TuringTrust.ai website (the "Site") and AI governance platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

TuringTrust provides an enterprise AI governance platform that enables organizations to:

• Create and enforce policies governing LLM usage across their organization.
• Configure guardrails for AI model inputs and outputs.
• Monitor and audit AI interactions through a centralized API gateway.
• Track and optimize AI-related costs through FinOps capabilities.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration

To access the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to violate any applicable law or regulation.
• Attempt to gain unauthorized access to the Service or its related systems.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use the Service to transmit malware, viruses, or other harmful code.
• Resell, sublicense, or redistribute the Service without our written consent.
• Interfere with, disrupt, or place an unreasonable burden on the Service infrastructure.
• Use the Service in a manner that could damage, disable, or impair the Service.

5. Intellectual Property

5.1 Our IP

The Service, including all software, designs, text, graphics, and other content, is the property of TuringTrust, Inc. and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited license to use it as described herein.

5.2 Your Data

You retain all rights to the data, policies, and configurations you input into the Service ("Customer Data"). You grant TuringTrust a limited license to process your Customer Data solely to provide and improve the Service.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable license to use such feedback for any purpose without compensation to you.

6. Payment Terms

If you subscribe to a paid plan, you agree to pay all applicable fees. Payment terms include:

• Fees are billed in advance on a monthly or annual basis as selected.
• All fees are non-refundable except where required by law.
• We may change pricing with 30 days' notice for monthly plans and at renewal for annual plans.
• Failure to pay may result in suspension or termination of your access.

7. Service Level and Availability

We strive to maintain high availability of the Service. For Enterprise customers, specific uptime commitments are outlined in separate Service Level Agreements (SLAs). We are not liable for downtime caused by factors outside our reasonable control, including force majeure events, internet outages, or third-party service failures.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• TuringTrust shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the theory of liability.
• Our total aggregate liability shall not exceed the amounts paid by you to TuringTrust in the twelve (12) months preceding the claim.
• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

9. Indemnification

You agree to indemnify and hold harmless TuringTrust, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate the agreement:

• You may cancel your account at any time through your account settings.
• We may suspend or terminate your access if you breach these Terms.
• Upon termination, your right to access the Service ceases immediately.
• We will make your Customer Data available for export for 30 days after termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Suffolk County, Massachusetts.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Site and updating the "Last updated" date. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable SLAs, constitute the entire agreement between you and TuringTrust.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right or provision shall not constitute a waiver of such right.
• Assignment: You may not assign your rights under these Terms without our written consent.
